Terms of Service

These Terms of Service govern your access to and use of The Consignory website, mobile app, and related services. By using The Consignory, you agree to these Terms.

Who Uses The Consignory

The Consignory provides software tools for vintage and consignment shops, boutique staff, consignors, and customers. Boutiques use the service to manage intake, inventory, storefront visibility, holds, purchase requests, refunds, appointments, staff access, and related records.

Accounts and Responsibilities

You are responsible for the accuracy of the information you provide, the security of your login credentials, and activity that occurs under your account. Boutique owners are responsible for managing staff access, shop information, inventory records, customer relationships, consignor records, and compliance with their own business obligations.

Boutique Sales and Inventory

The Consignory is a software platform. Boutiques are responsible for the items they list, item descriptions, pricing, availability, condition, taxes, customer service, fulfillment, returns, refunds, and any agreements with consignors or customers. The Consignory is not the seller of boutique inventory unless we expressly state otherwise.

Payments, Holds, Purchases, and Refunds

Payments may be processed through Stripe and connected boutique accounts. Boutiques are responsible for their payment setup, payment readiness, refund decisions, chargeback handling, and compliance with applicable payment rules. Hold deposits, purchase requests, partial refunds, full refunds, and related payment states may be managed in the app when the relevant boutique payment account is available and eligible.

Consignor and Customer Communications

When a customer requests to become a consignor for a boutique, the customer's email and phone number are shared with that boutique so the boutique can contact them about the consignor relationship. Boutiques are responsible for using shared contact information appropriately and in compliance with applicable laws.

Acceptable Use

You agree not to use The Consignory to:

  • Violate laws, payment rules, intellectual property rights, privacy rights, or third-party rights.
  • Upload false, misleading, fraudulent, abusive, or harmful content.
  • Sell or promote prohibited, unsafe, counterfeit, stolen, or unlawful goods.
  • Attempt to access accounts, stores, data, systems, or payment flows without authorization.
  • Interfere with the security, reliability, or operation of the service.

Content and Photos

You represent that you have the rights needed to upload inventory photos, shop content, item details, comments, and other content to The Consignory. You grant us permission to host, display, process, and transmit that content as needed to provide the service.

Service Changes and Discontinuation

The Consignory may modify, suspend, discontinue, or remove features or the entire service at any time, with or without notice, subject to applicable law. We are not obligated to continue providing any specific feature or to operate the service indefinitely.

Beta Features

Some features may be offered as beta, preview, experimental, or early access features. These features may contain bugs, change without notice, or be discontinued.

Data Backup Responsibility

While The Consignory takes reasonable measures to protect stored information, users are encouraged to maintain copies of records they consider especially important. We cannot guarantee that data will never be lost, corrupted, or unavailable.

Service Availability

We work to keep The Consignory available and reliable, but we do not guarantee that the service will always be uninterrupted, error-free, or available at all times. We may update, suspend, or discontinue parts of the service as needed.

Disclaimers and Limitation of Liability

The Consignory is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation. To the fullest extent permitted by law, The Consignory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.

Termination

We may suspend or terminate access to The Consignory if we believe an account violates these Terms, creates risk, violates law or payment requirements, or may harm the service, users, boutiques, or others.

Changes To These Terms

We may update these Terms from time to time. We will update the Effective Date whenever these Terms change. If we make material changes, we may provide additional notice through the app, website, or email.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Entire Agreement

These Terms constitute the entire agreement between you and The Consignory regarding your use of the service and supersede any prior or contemporaneous agreements or understandings relating to the service.
